TrashPays Marketplace Terms and Conditions

2.1 "Member" means a business that registers for an account on the Marketplace.

2.2 "Subscription Plan" means a plan that allows Members to access premium features and services on the Marketplace for a recurring fee.

2.3 "Recycled Products" means products made from recycled materials.

2.4 "Services" means services related to waste management and recycling.

2.5 "Waste Trading Laws" means laws and regulations governing waste trading in the respective countries of the Members.

3.1 The Marketplace is only available to Members who are businesses operating in the waste management and recycling industry.

3.2 Members must provide accurate and complete information when registering for an account on the Marketplace.

3.3 Members are responsible for maintaining the confidentiality of their account login details.

3.4 Members must comply with all applicable Waste Management, Recycling and Waste Trading Laws/Regulations when using the Marketplace.

4.1 TrashPays offers various Subscription Plans, including a free basic plan and premium plans.

4.2 The free basic plan allows Members to access limited features and services on the Marketplace.

4.3 Premium plans offer additional features and services, including:

5.1 Members who subscribe to premium plans must pay the applicable subscription fee.

5.2 Payments are due on the first day of each billing cycle.

5.3 TrashPays reserves the right to change its pricing and payment terms at any time.

6.1 Members may cancel their Subscription Plan at any time.

6.2 Cancellations will take effect at the end of the current billing cycle.

6.3 Refunds will not be issued for cancellations.

7.1 Members must comply with all applicable trading Laws when trading on the Marketplace.

7.2 Members are responsible for ensuring that the Products and Services they trade on the Marketplace are accurately described and comply with all applicable laws and regulations.

8.1 Payment Processing and Escrow Management

8.2 Role of the Platform: Trashpays Marketplace is a technology platform facilitating connections between buyers and sellers in the waste management and recycling industry. We act solely as an intermediary and are not a bank, money transmitter, or licensed financial institution.

8.3 Third-Party Service Providers: All payment processing is handled by licensed payment providers (including Paystack and Stripe). Escrow management services are provided exclusively by Pandascrow Inc. via their technology platform. By transacting on this Platform, you explicitly agree to be bound by the respective terms of service and privacy policies of Pandascrow and the applicable payment providers.

8.4 Custody of Funds: You acknowledge and agree that Trashpays Marketplace does not take physical custody, possession, or control of funds transacted between buyers and sellers. All funds are held securely in escrow accounts with payment providers like Paystack and Stripe, and managed by Pandascrow until pre-defined transaction conditions are met (e.g. confirmation of satisfactory delivery) or a dispute is resolved.

8.5 Service Fee: A service fee applies to each successful transaction, covering payment processing, escrow management, and transaction facilitation. The fee is automatically deducted from the total transaction amount upon the final release of funds to the seller. The current service fee is available on our website or mobile app.

8.6 Limitation of Liability: Trashpays Marketplace shall not be held liable for any errors, delays, or failures in payment processing, fund disbursement, or escrow holding caused by the Payment Providers, Pandascrow, or external banking systems. Any claims regarding fund loss, unauthorized transactions, or mishandling must be directed to the relevant Payment Provider or Pandascrow.

8.7 Data Protection: By using the platform, you consent to the sharing of data with Pandascrow and payment providers as necessary, in accordance with our Privacy Policy and applicable laws.

8.8 Transactions Outside the Platform: We strongly advise against conducting transactions outside of the Trashpays Marketplace. The platform and its third-party service providers will not be held liable for any losses, disputes, or issues arising from such transactions.

8.9 Dispute Resolution: In the event of a dispute regarding the release of escrowed funds, users agree to follow Pandascrow's applicable dispute resolution protocols alongside the Platform's designated mediation process. The decision rendered via the Pandascrow dispute mechanism shall be final and binding on all parties, subject to any appeal process outlined in Pandascrow's Terms.

8.10 KYC Verification and Document Uploads: KYC verification is designed to be seamless, and users are required to upload clear and compatible identity and supporting documents through the Platform as guided during onboarding and verification.

8.11 Seller Escrow Notifications: In escrow transactions, the seller will receive a notification email when funds are successfully paid into escrow.

8.12 Inclusion in Platform Policies: These Escrow Terms of Service form part of the Platform's policies and are incorporated into these Terms and Conditions.

9.1 TrashPays is committed to protecting the confidentiality and security of Member data.

9.2 TrashPays will not disclose Member data to third parties without prior consent, except as required by law.

9.3 Members are responsible for maintaining the confidentiality of their account login details and ensuring that their data is accurate and up-to-date.

10.1 The Marketplace and its content are protected by copyright, trademark, and other intellectual property laws.

10.2 Members must not reproduce, modify, or distribute the Marketplace's content without permission.

11.1 The Marketplace is not liable for any damages or losses arising from the use of the platform.

11.2 The Marketplace is not responsible for the actions or omissions of Members.

12.1 These Terms are governed by and construed in accordance with the laws of Federal Republic of Nigeria.

12.2 Any disputes arising from the use of the Marketplace will be resolved amicably through an Internal dispute resolution process facilitated by our dedicated customer support team. If the dispute is not resolved through an internal process, the parties shall attempt to resolve the dispute through Mediation or Arbitration in accordance with the Laws of the Federal Republic of Nigeria.

13.1 Members must comply with all applicable Environmental & Waste Trading Laws when using the Marketplace.

13.2 Trading waste raw materials locally or internationally may require a valid waste trading license. It is the responsibility of members to ensure compliance with all applicable laws, regulations, and international agreements governing waste trade.

13.3 TrashPays reserves the right to suspend or terminate a Member's account if they fail to comply with Waste Trading Laws.

14.1 TrashPays is committed to maintaining a safe and secure marketplace. As such, we have a zero-tolerance policy towards fraudulent activities.

14.2 Members are prohibited from engaging in any fraudulent activities, including but not limited to:

14.4 Members are required to report any suspicious activity or fraudulent behavior to TrashPays immediately.

15.1 TrashPays may modify these Terms at any time.

16.1 By using the Marketplace, Members acknowledge that they have read, understood, and agreed to be bound by these Terms.
